By accessing or using the happyMD platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the updated Terms on this page. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

To use certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

You must be at least 18 years old to create an account. By creating an account, you represent that you are at least 18 years of age.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates any applicable law or regulation
• Impersonate or attempt to impersonate another person or entity
• Engage in any conduct that restricts or inhibits anyone's use of the Service
• Attempt to gain unauthorized access to any part of the Service
• Use any robot, spider, or automated device to access the Service
• Introduce viruses or other malicious code
• Collect or harvest any information from the Service without authorization

Certain features of the Service require payment of fees. By subscribing to a paid plan, you agree to:

• Pay all applicable fees and charges
• Provide valid payment information
• Authorize us to charge your payment method for recurring fees

Refunds: Subscription fees are generally non-refundable, except as required by law or as otherwise stated in our refund policy.

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of your current billing period.

Bundled Services: Your program fee covers professional medical services including physician evaluation, clinical oversight, care coordination, and the typical pass-through cost of medications and supplies from our partner pharmacies and suppliers. Medications are prescribed only when medically appropriate and are dispensed by independent licensed pharmacies that bill happyMD directly. HappyMD does not operate as a pharmacy or sell prescription drugs.

happyMD is a technology platform that facilitates connections between patients and healthcare providers. We do not provide medical advice, diagnosis, or treatment.

Healthcare services accessed through our platform are provided by independent healthcare professionals who are solely responsible for the care they provide. Please see our Medical Disclaimer for more information.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAPPYMD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in Salt Lake City, Utah, except that either party may seek injunctive relief in any court of competent jurisdiction.
